Stelings

1. Company Information

RvS Business is a sole proprietorship (eenmanszaak), registered in the Netherlands and operating under the trade name Stelings.
RvS Business (Stelings) is represented by its owner.

Chamber of Commerce (KvK) number: 98234404.
Place of business: The Netherlands.

2. Applicability

These General Terms & Conditions apply to all offers, agreements, services, and deliveries provided by Stelings, unless explicitly agreed otherwise in writing.
By accepting an offer, placing an order, or using Stelings’ services, the client agrees to these terms.

3. Services

Stelings provides digital services including, but not limited to:

  • Website and webshop creation

  • Branding and design

  • Hosting and maintenance

  • SEO services

  • Integrations, automations, and AI-related services

  • Ongoing support and subscriptions

The exact scope of services is defined in the offer, quotation, or payment link provided by Stelings.

4. Offers, Pricing & VAT

All offers and prices displayed on the website or communicated otherwise are indicative, unless explicitly stated as binding in writing.
Prices stated as “from €X” are starting prices and may vary depending on scope, licenses, tools, time, or third-party services.

All prices are exclusive of VAT, unless stated otherwise. VAT will be added where applicable.

5. Payments & Late Payment

For project-based services, 50% of the total amount is payable upfront before work commences.
The remaining amount is due upon completion of the project or final delivery.

Hosting and subscription services are paid in advance, usually on a yearly basis, unless stated otherwise.

In case of non-payment, a grace period of 7 days applies. If payment is not received within this period, Stelings reserves the right to suspend services, including taking websites offline, without further notice. Services will be resumed once payment is received in full.

6. Project Execution & Revisions

During development, Stelings maintains close communication with the client.

For website projects:

  • One feedback moment is included after the desktop version is presented (via video call or otherwise).

  • After desktop approval, tablet and mobile versions are developed.

  • Limited feedback on tablet and mobile is allowed.

After the website is delivered and/or goes live, no further revisions are included, unless agreed otherwise in writing.
Requests that fall outside the agreed scope are considered additional work and will be invoiced separately.

7. Delivery & Timelines

Delivery timelines are indicative only and depend on workload, complexity, and client cooperation.
Stelings is not liable for delays caused by the client, such as late delivery of content, feedback, or approvals.

If required content or feedback is missing, Stelings reserves the right to pause the project until cooperation resumes.

8. Client Obligations

The client is responsible for:

  • Providing correct and complete information

  • Ensuring that supplied content does not infringe third-party rights

  • Verifying that the website complies with laws and regulations relevant to their business

The client remains fully responsible for the final website, webshop, and its content.

9. Intellectual Property & Portfolio Use

Upon full payment, intellectual property rights of the delivered website or work are transferred to the client, unless agreed otherwise.

Stelings reserves the right to use delivered work, including screenshots and descriptions, for portfolio, marketing, and promotional purposes.

10. Hosting & Maintenance Services

Hosting services are provided on a subscription basis, usually paid yearly and renewed automatically unless cancelled in time.

Stelings guarantees regular backups as described in the hosting plan.
However, Stelings does not guarantee uninterrupted uptime and is not liable for downtime, data loss, hacks, or security incidents.

In case of non-payment, hosting services may be suspended or taken offline until payment is received.

11. Suspension & Termination

The client may cancel services before work has started, unless costs (such as licenses or tools) have already been incurred. Deposits are non-refundable.

Stelings reserves the right to terminate or suspend agreements immediately if the client:

  • Fails to pay

  • Acts abusively

  • Does not cooperate

  • Violates these terms

12. Liability & Limitations

Stelings’ liability is limited to the amount paid by the client for the specific service.
Stelings is not liable for indirect damages, including but not limited to:

  • Loss of revenue

  • Loss of data

  • Missed SEO results

  • Business interruption

Stelings assists with GDPR and legal setup but the client remains responsible for legal compliance specific to their business.

13. Force Majeure

Stelings is not liable for failure to perform due to circumstances beyond its control, including technical failures, third-party outages, or governmental actions.

14. Complaints

Complaints must be submitted in writing within a reasonable time after discovery.
Stelings will make reasonable efforts to resolve complaints amicably.

15. Applicable Law & Disputes

These terms are governed by Dutch law.
Disputes will first be resolved through mediation. If mediation fails, disputes may be submitted to the competent Dutch court.

16. Final Provisions

If any provision of these terms is found invalid, the remaining provisions remain fully effective.
